General Conditions of Sale
1. Purpose
The purpose of these General Terms and Conditions of Sale is to define the terms of execution and performance of the event reception services provided by APEX PERFORMANCE (hereinafter "the Service Provider") for the benefit of its professional clients ("the Client").
2. Order and Quote
All services are subject to a personalized quote, valid for 30 days. The said-quote is considered as valid upon reception of the signed quote and/or a purchase order issued by the Client.
3. Rates
Rates are quoted excluding taxes (ET) and are for services provided under the conditions described in the quote. Any additional requests (extra hours, on-site supervision, changes to the brief) may be subject to a price revision.
4. Payment conditions
Unless otherwise agreed, services are invoiced upon completion of the assignment. Invoices are payable within 30 days of the end of the month. Any late payment will automatically incur late payment interest at the applicable legal rate, as well as a fixed compensation for recovery costs.
5. Customer Obligations
The Client undertakes to:

Provide a precise, up-to-date brief at least 72 hours before the mission;

Ensure working conditions that comply with health and safety rules;

Cover additional costs (meals, transport, accommodation if applicable) or validate them in advance with APEX PERFORMANCE.
6. Cancellation
In the event of cancellation by the Client less than 72 hours before the date of the service, 100% of the quoted amount will be charged. All cancellations must be made in writing (email).
7. Liability
APEX PERFORMANCE is insured for professional civil liability. Its liability may only be incurred for direct and foreseeable damage caused to the Client, excluding any indirect, commercial, or immaterial damage.
8. Complaints
Any complaint must be submitted in writing within 5 working days of the assignment. After this period, the service is considered compliant.
9. Personal data
The data collected as part of the commercial relationship is processed in accordance with our privacy policy .
10. Applicable law and jurisdiction
These General Terms and Conditions are subject to French law. In the event of a dispute, the parties will endeavor to find an amicable solution. Failing this, the Commercial Court of Nice will have sole jurisdiction.
